These Service Provider Terms ("Provider Terms") apply to persons and businesses that create, maintain, or use a Service Provider profile on MomentFolk.
MomentFolk is owned and operated by Kodeac Software Solutions Private Limited ("Kodeac", "MomentFolk", "we", "us", or "our"), having its registered office at Door No. 43-76-16, Block: 76, Ajith Singh Nagar, Vijayawada – 520015, Andhra Pradesh, India.
By registering or continuing to use MomentFolk as a Provider, you agree to these Provider Terms and our Privacy Policy.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts.
If you use MomentFolk on behalf of a company, studio, partnership, or other organization, you represent that you have authority to bind that organization.
2. MomentFolk's Role
MomentFolk provides technology that helps independent Providers present their services and connect with potential Customers.
MomentFolk is not the supplier of your underlying professional services.
You operate independently and are responsible for your own business.
Nothing in these Provider Terms creates an employment, agency, partnership, joint venture, franchise, fiduciary, or similar relationship between you and Kodeac.
MomentFolk does not guarantee enquiries, bookings, revenue, income, visibility, ranking, or commercial success.
3. Your Relationship With Customers
Any agreement for photography, videography, creative, event, or other services is entered into directly between you and the Customer.
You are responsible for agreeing with the Customer on matters including:
- scope;
- price;
- deposits;
- payment schedule;
- date and location;
- travel;
- deliverables;
- delivery timelines;
- revisions;
- cancellation;
- rescheduling;
- refunds;
- intellectual-property rights;
- usage licenses;
- taxes;
- invoices; and
- other commercial terms.
MomentFolk is not a party to your underlying service contract.
4. Provider Information
You must provide accurate and reasonably current information about yourself and your services.
Depending on Platform functionality, this may include your name, phone number, email address, business or studio name, city, profile photograph, service categories, description, experience, pricing, portfolio, and social-media information.
You must not make materially false or misleading claims regarding your identity, business, experience, awards, customers, equipment, qualifications, portfolio, pricing, availability, or services.
5. Verification and No KYC
MomentFolk may allow you to connect or verify an Instagram account through an OAuth or similar authorization process.
This is a limited technical verification and does not constitute KYC, identity verification, background verification, professional certification, or verification of portfolio ownership.
MomentFolk does not conduct general KYC or background verification of Providers.
You remain responsible for obtaining and maintaining any registrations, licenses, permits, insurance, tax registrations, or other authorizations required for your business.
6. Provider Content
"Provider Content" includes photographs, videos, graphics, text, descriptions, portfolio materials, profile photographs, pricing, logos, business information, and other content you submit to MomentFolk.
You retain ownership of rights you already hold in your Provider Content.
However, you are solely responsible for ensuring that you have sufficient legal rights and permissions to upload, publish, display, and permit MomentFolk to use that content in accordance with these Provider Terms.
7. Strict Portfolio Rights and Consent Requirements
You must not upload or publish content merely because you possess a copy of it.
For every portfolio photograph, video, project, or other work you upload, you represent that you either:
- created the work and possess the rights necessary to display it; or
- have obtained sufficient permission, license, or authorization from the relevant rights holder to display and use it.
Where Provider Content identifies or depicts customers, models, event attendees, children, private events, private property, or other identifiable persons, you are responsible for obtaining every permission, consent, model release, client authorization, privacy permission, publicity-right authorization, or other approval required by applicable law or contract before publishing the content on MomentFolk.
MomentFolk does not obtain these permissions on your behalf.
You must immediately remove or notify MomentFolk about content where your authorization to display it has expired or been withdrawn and removal is legally required.
8. Plagiarism and False Attribution
You must not:
- upload another person's work and claim it as your own;
- remove or conceal attribution in order to misrepresent authorship;
- display work from another photographer, videographer, studio, creator, agency, or Provider without sufficient authorization;
- fabricate projects or customers;
- falsely imply participation in a project;
- impersonate another professional or business; or
- otherwise misrepresent the origin of portfolio material.
Plagiarism and deliberate portfolio misrepresentation are serious violations of these Provider Terms.
9. AI-Generated and AI-Assisted Portfolio Content
MomentFolk's objective is for portfolios to truthfully represent a Provider's genuine professional work.
Ordinary AI-assisted editing tools may be used where they assist with processes such as exposure correction, colour adjustment, noise reduction, cropping, sharpening, restoration, masking, or comparable editing and the resulting portfolio remains a truthful representation of your work.
However, you must not present materially or substantially AI-generated or fabricated content as genuine commissioned work or as evidence of services you actually performed.
Without appropriate disclosure and legitimate context, you must not present:
- wholly AI-generated photographs or videos as actual commissioned work;
- AI-generated people as real customers or subjects;
- fabricated weddings, events, venues, shoots, projects, or commercial assignments as real work;
- generated content that substantially replaces the underlying work while being represented as an authentic portfolio example; or
- synthetic material in a manner that materially misleads Customers about your experience or capabilities.
Where use of generative AI would otherwise materially mislead a reasonable Customer, you must clearly disclose its use.
MomentFolk may require clarification, evidence, or disclosure concerning suspected synthetic or fabricated portfolio content.
10. Reporting and Investigation
MomentFolk may provide a "Report this portfolio/work" or similar reporting mechanism.
Reports may also be submitted to info@momentfolk.app.
If content is reported for plagiarism, copyright infringement, impersonation, fabrication, or other misuse, MomentFolk may:
- request evidence from the reporting party;
- notify you;
- request source files, project evidence, licenses, releases, or other proof;
- temporarily restrict disputed content;
- remove content while investigating where reasonably appropriate;
- issue a warning;
- restrict Platform features;
- suspend your account; or
- terminate your account.
Where appropriate, you will be given an opportunity to submit evidence demonstrating your ownership, authorship, authorization, or other lawful basis for using disputed content.
MomentFolk is not a court and does not make definitive determinations of intellectual-property ownership.
11. Repeat Infringement
Repeated plagiarism, copyright infringement, deliberate portfolio theft, or materially deceptive portfolio practices may result in permanent termination.
A single sufficiently serious case of fraud, impersonation, infringement, or deliberate deception may also justify immediate suspension or termination.
12. License to MomentFolk
By uploading Provider Content, you grant Kodeac a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, technically process, resize, compress, format, transmit, and distribute that content to the extent reasonably necessary to:
- operate MomentFolk;
- display and promote your MomentFolk profile;
- enable Platform functionality;
- maintain security and backups;
- improve Platform presentation; and
- promote MomentFolk and participating Providers through MomentFolk-operated marketing and social-media channels.
This license does not transfer ownership of your Provider Content to MomentFolk.
Where reasonably practicable, promotional use should identify or link to the relevant Provider/profile.
Following removal of content or account deletion, this license will cease for new uses within a reasonable operational period, except where continued storage or processing is reasonably necessary for backups, legal compliance, security, evidence, dispute resolution, or previously produced lawful promotional material.
13. Enquiries and Contact Information
Customers may submit enquiries through MomentFolk.
You may approve or decline enquiries.
Where you approve an enquiry, contact information you have elected to make available—such as phone, WhatsApp, or email—may be displayed to that Customer.
You are responsible for communications and commercial arrangements that follow.
14. Customer Personal Data
Customer information obtained through MomentFolk may only be used for legitimate purposes connected with responding to enquiries, providing requested services, fulfilling contractual obligations, maintaining appropriate business records, and complying with law.
You must not:
- sell Customer personal data;
- scrape or compile Customer information into unrelated databases;
- disclose Customer information without authorization or lawful basis;
- use Customer data for unrelated unlawful marketing;
- harass Customers;
- expose private enquiry details publicly; or
- otherwise misuse personal information.
Where applicable, you are independently responsible for complying with privacy and data-protection laws applicable to your own processing of Customer information.
15. Pricing
You determine the pricing for your services.
Prices displayed on MomentFolk must not be intentionally deceptive.
You must communicate material conditions, exclusions, taxes, additional charges, travel costs, and other significant pricing terms to Customers where applicable.
16. Payments, Refunds and Taxes
Customers currently pay Providers directly outside MomentFolk.
MomentFolk does not hold Customer money or process payments for your underlying services.
You are responsible for:
- collecting payments;
- issuing invoices where required;
- managing deposits;
- determining lawful cancellation/refund terms;
- handling Customer refunds;
- paying applicable taxes; and
- maintaining legally required records.
MomentFolk is not responsible for payment disputes between you and a Customer.
17. Provider Subscriptions
MomentFolk may charge Providers subscription fees for access to Provider features or plans.
The applicable price, billing period, included features, renewal terms, cancellation process, taxes, and any refund eligibility will be disclosed at or before purchase.
Provider subscription charges are separate from payments made by Customers for your professional services.
Where subscriptions automatically renew, MomentFolk will provide renewal and cancellation information as required by applicable law.
Except where otherwise stated at purchase or required by applicable law, cancellation ordinarily stops future renewal and does not automatically entitle a Provider to a refund for a billing period already commenced.
Any mandatory refund or cancellation rights under applicable law remain unaffected.
18. Reviews
Customers may be permitted to review Providers.
You must not:
- purchase fake reviews;
- submit or arrange fabricated reviews;
- offer improper incentives conditioned on positive reviews;
- threaten Customers over negative reviews; or
- manipulate ratings or review systems.
You may be permitted to respond publicly to reviews, but responses must remain lawful and professional and must not disclose confidential or private Customer information.
MomentFolk may remove reviews or responses that violate Platform rules or applicable law.
19. Professional Conduct
You must not use MomentFolk to engage in:
- fraud or scams;
- harassment or threats;
- unlawful discrimination;
- sexual exploitation or unlawful conduct;
- impersonation;
- intellectual-property infringement;
- privacy violations;
- misuse of Customer data;
- security abuse;
- deceptive portfolio practices; or
- other conduct that creates a material safety, legal, or integrity risk.
20. Social-Media Links
You may be able to connect social-media accounts such as Instagram.
You must only connect accounts you are authorized to use.
Displaying a social-media account on MomentFolk does not mean MomentFolk guarantees your identity, the authenticity of the account's content, or ownership of content published there.
21. Suspension and Termination
MomentFolk may warn, restrict, suspend, or permanently terminate Providers for reasons including:
- fraud or scams;
- plagiarism;
- copyright infringement;
- fake or deceptive portfolios;
- impersonation;
- harassment;
- illegal activity;
- Customer-data misuse;
- security abuse;
- repeated substantiated complaints;
- review manipulation;
- material misrepresentation; or
- repeated or serious violations of these Provider Terms.
Serious violations may result in immediate suspension without advance warning.
Where appropriate, you may request review by contacting info@momentfolk.app and providing relevant evidence.
22. MomentFolk Intellectual Property
All rights in the MomentFolk Platform itself—including software, technology, interfaces, branding, logos, Platform-created designs, proprietary content, databases, and other intellectual property—belong to Kodeac Software Solutions Private Limited or its licensors.
No ownership rights in MomentFolk are transferred to Providers.
Unauthorized scraping, copying, reverse engineering, automated extraction, bot access, or exploitation of Platform technology or data is prohibited.
23. Provider Responsibility and Indemnity
To the extent permitted by applicable law, you are responsible for claims arising from your underlying services, your Provider Content, your violation of third-party rights, your unlawful use of Customer information, or your material breach of these Provider Terms.
To the extent permitted by applicable law, you agree to indemnify Kodeac against third-party claims, losses, liabilities, and reasonable costs resulting from such conduct.
This obligation does not apply to the extent a claim results from Kodeac's own unlawful conduct, negligence, or breach of its obligations.
24. No Guarantee of Business
MomentFolk does not guarantee:
- enquiries;
- bookings;
- Customer quality;
- conversion rates;
- profile ranking;
- profile visibility;
- revenue;
- profitability; or
- business growth.
You make your own business decisions when using MomentFolk.
25. Limitation of Liability
To the maximum extent permitted by law, MomentFolk/Kodeac is not responsible for indirect, consequential, incidental, exemplary, special, or punitive losses arising from Customer conduct, independent service contracts, direct payments, cancellations, or commercial disagreements between you and a Customer.
Nothing excludes liability that cannot lawfully be excluded.
26. Changes to Provider Terms
We may update these Provider Terms for legal, regulatory, security, technical, operational, or product reasons.
Material changes will be communicated where required by applicable law.
Continued use after an update will constitute acceptance where legally effective; where affirmative consent is required, we will request it.
27. Governing Law and Disputes
These Provider Terms are governed by the laws of India.
Providers and Kodeac should first attempt in good faith to resolve disputes through written communication.
For commercial disputes between a Provider and Kodeac that cannot be resolved informally, Kodeac may provide for arbitration in accordance with applicable Indian arbitration law, with Vijayawada, Andhra Pradesh as the intended seat, where the applicable agreement or subscription terms validly provide for arbitration.
Any final arbitration clause should be interpreted subject to rights and remedies that cannot legally be waived.
Where arbitration does not validly or exclusively apply, courts of competent jurisdiction in Andhra Pradesh, India will have jurisdiction.
Nothing prevents either party from seeking urgent injunctive or protective relief where legally available, including in relation to intellectual property, security, confidentiality, or misuse of data.
